By paying for a package and submitting your intake, you agree to these Terms & Conditions.

01 Definitions

  • Client / you: the person or entity purchasing services.
  • Services: website design & development and related deliverables.
  • Deliverables: the site, design files, sections, logos, and other outputs we provide.
  • Intake: the post-payment link/form we use to collect content, assets, and access.
  • Scope: features, pages, and work included in your selected package.

02 Services & Scope

  • We offer package-based website services for new and established businesses, including online stores.
  • Your order is limited to the Scope of the selected package. Items beyond Scope (extra pages, custom apps, complex integrations) are change requests and may require a separate quote and payment.
  • Packages may include a 1-year free domain and a free logo as stated at purchase. After the first domain year, renewals and registrar fees are your responsibility.

03 Ordering & Start of Work

  • Payment starts the work. When you pay, you expressly request that we begin immediately and allocate production time.
  • After payment, you receive an Intake link to provide brand details, content, product data/CSV (if applicable), and platform access.
  • Delays in completing Intake or providing assets will delay delivery timelines.

04 Timelines

  • Work typically begins within 24 hours after payment.
  • Standard delivery: 5–7 days from the later of (a) payment, or (b) receipt of all required inputs (Intake + assets).
  • Exclusive/complex builds: up to 10 days from receipt of all required inputs.
  • Timelines are good-faith estimates and depend on Client responsiveness, third-party platforms, and other factors outside our control.

05 Revisions — 14-Day Window

  • You receive a 14-day revision period beginning on the date we first deliver the site for review (“Revision Window”).
  • Revisions include reasonable adjustments within Scope (copy edits, image swaps, minor layout tweaks, color/type refinements).
  • New features, additional pages, custom code, third-party integrations, or redesigns are out of Scope and may require a separate quote.
  • Unused revision time does not extend or carry over.

06 Refunds & Cancellations

  • Because work begins right after payment, all fees are non-refundable after the 14-day Revision Window, except where required by law.
  • If you cancel before first delivery and within the 14-day Revision Window, any refund is at our discretion and may be reduced by time/materials already expended.
  • Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law.

07 No Subscriptions / No Recurring Charges

  • We do not sell monthly subscriptions and do not auto-renew. Your purchase is a one-time project fee for the selected package.
  • If a domain is included, it is free for the first year only; future renewals and registrar fees are the Client’s responsibility.

08 Client Responsibilities

  • Provide accurate and timely content, brand assets, product data/CSV, and platform access (e.g., Shopify/Squarespace).
  • Confirm you hold all necessary rights to the content you supply (text, images, video, logos, product data).
  • Review drafts and deliverables promptly; timely feedback is required to meet timelines.

09 Technical Support

  • We provide reasonable technical support related to the Deliverables during the 14-day Revision Window.
  • Ongoing maintenance, platform outages, third-party app issues, or new feature requests are not included and may be quoted separately.
  • No formal response-time SLA is offered, but we will look into reported issues in good faith.

10 Platforms & Third-Party Services

  • Your site may rely on third-party platforms, themes, fonts, apps, or processors that are governed by their own terms and fees.
  • We are not liable for third-party changes, outages, deprecations, or policy decisions.

11 Intellectual Property

  • Pre-existing IP (our frameworks, libraries, snippets, processes) remains our property.
  • Upon full payment, you receive ownership of the final exported website content and custom design assets we create specifically for you, subject to third-party licenses.
  • Stock photos, fonts, icons, themes, or code licensed from third parties remain under their respective licenses.
  • Unless you notify us in writing, you grant us a non-exclusive worldwide license to show the finished work in our portfolio and marketing.

12 Content, Compliance & Acceptable Use

  • You are solely responsible for the legality and compliance of your site content (privacy/cookie notices, return policies, product claims, etc.).
  • You agree not to request or publish unlawful, infringing, misleading, or harmful content. We may refuse or remove content that violates law or these Terms.

13 Approvals & Sign-Off

  • Delivery of the live or final version constitutes substantial completion.
  • The project is deemed accepted at the earlier of: (a) your written approval; (b) the site going live; or (c) the end of the 14-day Revision Window.

14 Fees, Taxes & Payment

  • Fees are due upfront unless otherwise agreed in writing.
  • Prices exclude taxes unless stated. You are responsible for applicable taxes and government charges.

15 Privacy & Data

  • We handle personal data in accordance with our Privacy Policy (link to your policy).
  • Provide only the data necessary for the project and confirm you have the right to share it with us.

16 Warranties & Disclaimers

  • We will perform the Services in a professional manner consistent with industry practice.
  • EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT).
  • We do not guarantee specific rankings, traffic, conversions, or revenue.

17 Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PROJECT GIVING RISE TO THE CLAIM.
  • IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR GOODWILL.

18 Indemnification

You agree to indemnify and hold Site Oryx harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your content; (b) your breach of these Terms; or (c) your violation of law or third-party rights.

19 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., outages, cyber incidents, supplier failure, natural disasters, labor issues, or changes in law).

20 Changes to Terms

We may update these Terms from time to time. The version in effect when you place an order applies to that order unless we agree otherwise in writing.

21 Governing Law & Disputes

These Terms are governed by the laws of [State/Province, Country], without regard to conflicts of law. Before filing any claim, the parties will attempt informal resolution in good faith. If unresolved, disputes shall be brought in the courts located in [County/State or City/Country], unless applicable law requires otherwise. Each party consents to that venue and jurisdiction. (If you prefer arbitration, replace this paragraph with your arbitration clause.)

22 Assignment

You may not assign these Terms without our prior written consent. We may assign to an affiliate or successor in connection with a merger, sale, or reorganization.

23 Severability; Entire Agreement; No Waiver

If any provision is unenforceable, the rest remains in effect. These Terms (plus your package order/quote and any written change orders) are the entire agreement. A failure to enforce a provision is not a waiver.
